Private Office License Agreement Your selected office, authorized team, start date and term define your service. Six months requires a half-month deposit; twelve months requires a full month; month-to-month requires none. Payment and office confirmation are separate from submitting a signup. 1. Parties and office The accepted order identifies the service user, any business payer and the authorized signer; these roles may be held by different people. Signing for a business confirms authority to bind that business, not an unstated personal guarantee. Keep your legal business name, billing address and authorized occupants current. A later change of payer or team does not transfer the office or release an existing obligation without written agreement. This agreement is between Cocoa Beach Office ("CBO", "we", "us") and the person or business identified at signup (the Member). The signer confirms authority to act for the named business. It covers the selected private office at 1980 North Atlantic Avenue, Second Floor, Cocoa Beach, FL 32931, with shared use of common areas. The selected office, monthly fee, term and agreed start date form part of this agreement. The office is for professional business use, not residential use. This agreement grants permission to use the office and services; statutory rights that cannot lawfully be waived remain unaffected. 2. Term, fees and renewal Choose a six-month, twelve-month or month-to-month term as shown at signup. Fixed-term monthly rates remain fixed for that term. Monthly fees are payable in advance on the invoice due date. Fixed terms run for the agreed period; early departure does not by itself cancel remaining obligations. Month-to-month service requires 30 days’ written notice to end. We send renewal reminders before a fixed term ends. Renew through the member portal or contact us. Unless a different renewal is agreed or proper termination notice is given, the office continues month-to-month at the applicable month-to-month rate, subject to existing rights and availability. 3. Security deposit A six-month term requires a refundable security deposit equal to half the selected six-month term’s monthly rent. A twelve-month term requires a refundable security deposit equal to one month of the selected twelve-month term’s rent. Month-to-month requires no security deposit. The first month and applicable deposit are shown separately before payment. The deposit is not the final month’s rent. We return it within 30 days after move-out, less unpaid charges and documented repair costs beyond ordinary wear and tear, subject to any mandatory legal requirements. We provide an accounting of deductions. No deposit does not remove responsibility for unpaid charges or damage. 4. Checkout and confirmation Starting payment checkout places a 15-minute hold on an available office. Submitting details or accepting this agreement is not payment and does not confirm a reservation. Confirmation requires successful payment and an office that can be supplied. Unfinished checkout expires; a pending bank payment is not cleared payment and the office may be released if payment fails. If we cannot supply an office already paid for, we refund that payment. 5. Late or failed payments If payment fails or is more than five days late, a late fee may be charged up to $25 or 5% of the unpaid balance, whichever is lower, subject to applicable law. We may suspend access for unpaid charges after notice, except where law requires otherwise. Contact us promptly to resolve a billing error. 6. Use, access and services Use is limited to the agreed office capacity and named occupants. Shared meeting rooms are separately booked unless your order expressly includes an allowance; an allowance is not a confirmed reservation. A room booking, guest visit or coworking pass does not transfer your office rights. Business-address or mail services are included only where expressly stated in your order. The office is for your named business and team; no subletting or transfer without written consent. Your plan includes furniture, internet, utilities and common-area services as described at signup. Keyless access is available 24/7; credentials are personal and must not be shared. Members are responsible for guests and must follow the House Rules. Do not alter, paint, drill, rewire or install equipment without prior written permission. Keep the office safe and professional. Internet and shared services may be temporarily interrupted for maintenance or circumstances beyond our reasonable control; you remain responsible for your own devices, data and backups. 7. Move-in and move-out Staff may enter for agreed services, repairs, inspections or emergencies, respecting confidentiality and giving reasonable advance notice where practicable. Routine relocation requires agreement or an express right in your signed contract; a comparable space may be proposed but your selected office is not silently replaced. Emergency access and any recovery of possession must comply with applicable law. Move-in and access arrangements are confirmed with staff. At move-out, remove your belongings, return or deactivate access credentials and leave the office in the condition received, ordinary wear excepted. Remaining beyond your agreed term requires an approved renewal; continued occupancy does not override another member’s rights. Any removal or handling of abandoned property will follow applicable law. 8. Responsibility and termination Report unsafe conditions, damage and service problems promptly. Protect confidential material, secure devices and maintain appropriate business and property insurance. Responsibility for third-party claims is limited to the extent caused by your business activities, breach, or your team or guests; it does not require you to cover loss caused by CBO’s negligence or misconduct. Payment disputes may be raised with staff or the payment provider; no statutory dispute right is waived. You are responsible for insuring your business and property and for damage caused by your team or guests. We are not responsible for indirect or consequential losses to the extent permitted by law; this does not exclude liability or remedies that cannot lawfully be excluded. Either party may enforce this agreement for material breach. Where appropriate, written notice and a reasonable opportunity to remedy the breach will be provided; urgent safety or unlawful-use issues may require immediate action consistent with law. Your signed agreement and accepted order control over general membership or later website wording. Changes to a fixed-term price require your agreement. Send notices to the contact email below and keep delivery evidence; contact staff if acknowledgment is not received. Any emergency closure or extended inability to supply the office will be addressed with you, including available alternatives and applicable refund or termination rights. No clause authorizes an unlawful lockout, seizure or disposal of property. 9. Governing law and disputes These terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts serving Brevard County, Florida, and you consent to that venue. Before filing any claim, both sides agree to try in good faith to resolve the issue informally for at least 30 days after written notice. 10.
